These terms govern use of this website and services supplied by Asyra Technologies (“Asyra”, “we”, “us”). Our legal contact address is 14 Parrot Residency, Coimbatore – 641029, Tamil Nadu, India.
1. Project agreement
Each project's scope, deliverables, milestones, fees, dependencies and schedule are defined in the proposal, statement of work or other agreement accepted by both parties. That project agreement prevails if it conflicts with these general terms.
2. Client decisions and changes
Clients should finalise key requirements and decisions before confirming a project. Later changes may require a revised scope, cost or delivery schedule and will proceed only after they are communicated and accepted.
3. Fees and payment
Deposits, milestones and payment schedules vary according to project scope. Asyra determines suitable terms for each engagement, communicates them before work begins, and proceeds after the client accepts them. Work or handoff may be paused while an agreed payment is overdue. Applicable taxes and third-party costs are handled as stated in the project agreement.
4. Cancellation and refunds
Cancellations must be submitted in writing. Deposits and fees paid are generally non-refundable once work begins. From amounts paid, Asyra may deduct completed work, committed third-party costs and capacity reserved for the project. Any unused balance is refundable only where the project agreement supports it.
If Asyra cannot materially deliver the agreed scope and cannot provide a remedy accepted by the client, any refund is limited to fees attributable to work that remains undelivered. Nothing here limits a right that cannot lawfully be excluded.
5. Ownership and handoff
Ownership depends on the project agreement. Where transfer is agreed, ownership of custom deliverables transfers after completion, full payment and handoff. Asyra retains its pre-existing know-how, reusable methods, libraries, general tools and materials not created exclusively for the project.
6. Support and warranties
Support, maintenance, updates, warranties and free assistance after handoff are not automatically included. They apply only when explicitly agreed in writing. After an ownership transfer, later support may require a separate paid engagement.
7. Client responsibilities
The client must provide timely, accurate information, approvals and materials it has the right to use. Delays or missing dependencies may change delivery dates and costs.
8. Liability and third parties
To the extent permitted by law, Asyra is not liable for indirect or consequential loss. Aggregate liability connected with a project will not exceed fees paid for the affected services. Third-party platforms remain governed by their own terms and availability.
9. Governing law
These terms are governed by the laws of India. Courts in Coimbatore, Tamil Nadu have exclusive jurisdiction over disputes arising from them, subject to any mandatory law.
